These Terms of Use (“Terms”) govern your access to and use of the CareCode AI application (the “Service”) provided by CompleteCare, Inc. (“Company”, “we”, “us”).

1. Acceptance of Terms

By accessing or using CareCode AI, you agree to be bound by these Terms, our Privacy Policy, and any additional policies or terms referenced herein. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization.

2. Description of Service

CareCode AI processes de-identified SOAP notes to return CPT, ICD-10, and modifier code suggestions, as well as denial risk assessments and prior authorization flags. It is intended as a decision-support tool—not a replacement for clinical or coding expertise.

3. HIPAA & PHI

The platform is designed for HIPAA compliance. All identifiable PHI is stripped using proprietary de-identification before AI processing. However, users are solely responsible for uploading compliant and appropriately redacted content.

4. Intellectual Property

All components of CareCode AI, including software, code logic, models, and user interface, are the intellectual property of CompleteCare, Inc. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

5. Data Ownership

You retain rights to de-identified data you submit, but grant us a license to use anonymized, aggregate data to improve the Service and AI models.

6. User Conduct

You agree to:

7. No Warranties

The Service is provided “as-is.” We make no guarantees regarding output accuracy, reimbursement outcomes, or coding acceptance by payers.

8. Indemnification

You agree to indemnify, defend, and hold harmless CompleteCare, Inc. and its officers, directors, employees, contractors, and affiliates from all claims, losses, damages, liabilities, and expenses (including attorney’s fees) arising from:

9. Limitations of Liability

In no event shall CompleteCare, Inc. be liable for any indirect, incidental, punitive, or consequential damages, even if advised of the possibility of such damages.

10. Termination

We may suspend or terminate your account at any time for violations of these Terms or to comply with legal obligations.

11. Governing Law

These Terms shall be governed by the laws of the State of Arkansas. Disputes will be resolved via arbitration in Pulaski County, AR.
