Terms of Use for CareCode AI
These Terms of Use (“Terms”) govern your access to and use of the CareCode AI application (the “Service”) provided by CompleteCare, Inc. (“Company”, “we”, “us”).
1. Acceptance of Terms
By accessing or using CareCode AI, you agree to be bound by these Terms, our Privacy Policy, and any additional policies or terms referenced herein. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization.
2. Description of Service
CareCodeAI processes clinical documentation, which may contain Protected Health Information ("PHI"), to provide CPT®, ICD-10, HCPCS, and modifier code recommendations, denial-risk assessments, prior authorization insights, and other coding decision-support functionality. Before clinical documentation is transmitted to external artificial intelligence services, CareCodeAI applies automated de-identification processes designed to remove patient identifiers. CareCodeAI is intended as a decision-support tool and is not a replacement for clinical or professional coding judgment.
3. HIPAA & PHI
CareCodeAI is designed to support HIPAA-compliant workflows. Clinical documentation submitted to the Service may contain PHI. CareCodeAI uses automated de-identification controls, including Google Sensitive Data Protection, to identify and remove patient identifiers before content is transmitted to external artificial intelligence services. Users are not required to manually redact PHI before submitting clinical documentation to CareCodeAI. Users should submit only information reasonably necessary for the intended coding or documentation-support purpose.
4. Intellectual Property
All components of CareCode AI, including software, code logic, models, and user interface, are the intellectual property of CompleteCare, Inc. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription term.
5. Ownership of Customer Data
Customer retains all right, title, and interest in and to all Customer Data submitted to CareCodeAI, including Protected Health Information, clinical documentation, and related healthcare information.
CompleteCare does not obtain ownership of Customer Data.
Customer grants CompleteCare a limited, non-exclusive license to process Customer Data solely as necessary to provide, maintain, support, secure, and improve the CareCodeAI platform in accordance with these Terms and any applicable Business Associate Agreement.
6. Artificial Intelligence
CareCodeAI utilizes artificial intelligence to assist users with coding recommendations and documentation analysis.
CompleteCare does not use Customer PHI or identifiable Customer Data to train public or third-party artificial intelligence models.
CompleteCare may utilize de-identified and aggregated information, created in accordance with applicable law, solely to improve the CareCodeAI platform, software functionality, product quality, security, analytics, and user experience.
7. Customer Responsibilities
Customer is responsible for reviewing and validating all coding recommendations generated by CareCodeAI. CareCodeAI provides coding decision-support and does not replace professional coding review, provider judgment, clinical decision-making, or compliance with payer requirements.
8. User Conduct
You agree to:
- Only use the Service for lawful, healthcare-related purposes.
- Not resell, reverse-engineer, or modify the application.
- Secure access credentials and immediately notify us of any unauthorized access.
9. No Warranties
The Service is provided “as-is.” We make no guarantees regarding output accuracy, reimbursement outcomes, or coding acceptance by payers.
10. Indemnification
You agree to indemnify, defend, and hold harmless CompleteCare, Inc. and its officers, directors, employees, contractors, and affiliates from all claims, losses, damages, liabilities, and expenses (including attorney’s fees) arising from:
- Your use or misuse of the Service
- Your breach of these Terms
- Your violation of any applicable laws or regulations
- Any coding or billing decisions made based on CareCode outputs
11. Limitations of Liability
In no event shall CompleteCare, Inc. be liable for any indirect, incidental, punitive, or consequential damages, even if advised of the possibility of such damages.
12. Termination
We may suspend or terminate your account at any time for violations of these Terms or to comply with legal obligations.
13. Governing Law
These Terms shall be governed by the laws of the State of Arkansas. Disputes will be resolved via arbitration in Pulaski County, AR.
14. Fair Use Policy
CareCodeAI subscriptions are intended for normal individual provider usage. Accounts exhibiting unusually high or automated usage beyond typical clinical workflows may be reviewed. CompleteCare reserves the right to contact customers to discuss an appropriate subscription plan if usage materially exceeds expected provider utilization.
